Corporate Counsel (AI)

Location: On-site in Palo Alto, CA

Salary: $220,000 - $260,000 USD

What you will do

• Lead domestic and international M&A and strategic transactions, including diligence, structuring, and negotiation.
• Provide securities counsel and support, including SEC reporting, disclosures, and insider trading policies.
• Advise on equity compensation, cap table management, and corporate governance for the board.
• Oversee subsidiary maintenance and compliance across US and international entities.
• Provide counsel on commercial contracts for AI compute/infrastructure and tech partnerships.
• Support emerging issues related to AI safety, regulatory compliance, and IP in models and data.

Requirements

• J.D. from an accredited law school and active CA bar membership.
• 5+ years of experience in Corporate or M&A at a top-tier national law firm.
• Deep expertise in domestic and cross-border M&A structuring and negotiation.
• Must be a U.S. citizen, lawful permanent resident, refugee, or asylee (ITAR requirements).
• Exceptional communication skills to translate legal complexities for engineers and executives.
