Senior Legal Counsel, Corporate

Location: London, United Kingdom; hybrid working with two days per week in the office

What you will do

• Oversee day-to-day corporate legal work across the group and establish hirify.global's first dedicated in-house corporate legal capability.
• Advise the Board, executive leadership and Finance function on capital markets, governance, listing compliance and corporate matters.
• Lead legal workstreams for mergers, acquisitions, disposals, joint ventures, investments and other corporate transactions.
• Advise on group structures, entity rationalisation, statutory filings, directors' duties, corporate authorities and subsidiary governance.
• Act as the primary legal partner to Finance on debt finance, banking arrangements, treasury, tax structuring, covenants and financing documentation.
• Oversee advice and implementation relating to anti-bribery, sanctions, conflicts of interest, third-party risk, fraud, money laundering and delegated authority rules.

Requirements

• Qualified solicitor in England & Wales or equivalent qualification.
• 3–8 years of post-qualification corporate law experience, with demonstrable experience advising a London-listed PLC.
• Experience with group entity structures and subsidiary-level company secretarial matters.
• Strong knowledge of the Market Abuse Regulation, AIM Rules for Companies, Companies Act 2006 and UK corporate governance frameworks.
• Experience leading or supporting M&A transactions and corporate projects.
• Ability to provide clear, commercial and pragmatic advice to senior stakeholders, including Board members and Finance.

Nice to have

• Experience with debt finance, banking facilities, treasury or intra-group structuring.
• Experience working across multiple jurisdictions and advising on subsidiary legal compliance.
• Familiarity with the QCA Corporate Governance Code or equivalent AIM governance frameworks.
• Interest in data, AI and technology sectors.
