Counsel (Energy)

TL;DR

Counsel (Energy): Advising management and project teams on utility-scale wind, solar, battery storage, and gas segments with an accent on project documentation and financing. Focus on reviewing and negotiating power purchase agreements, tax equity structures, and representing the company in acquisitions and dispositions.

Location: Hybrid. Must be based near offices in San Francisco, San Diego, Scottsdale, Houston, Denver, or Princeton

Salary: $147,000 - $210,000 USD

What you will do

• Review, draft, and negotiate project documents, including power purchase agreements.
• Manage financing documents, covering tax equity structures, debt, and cash equity financing.
• Represent the company in various acquisitions and dispositions.
• Supervise outside counsel and provide legal guidance on asset management for operating projects.
• Advise management on regulatory issues and support litigation and dispute resolution processes.
• Work cross-functionally to guide energy projects through their entire lifecycle.

Requirements

• JD from an accredited law school and a valid license to practice law.
• Minimum 3 years of experience as an attorney in a law firm or in-house legal department.
• Experience in project finance and development for utility-scale wind, solar, battery, and gas projects.
• Must be based in or near the specified US office locations.
• Clearway will not sponsor non-immigrant visas (H-1B, TN, E-3, etc.).
