TL;DR

Transaction Tax Director (M&A): Leading tax planning, consulting, and compliance on complex M&A projects with an accent on buy-side and sell-side due diligence. Focus on advising clients on tax-efficient restructurings, managing engagement teams, and developing high-level client relationships.

Location: Must be based in Houston, Dallas, or Austin, TX. Position requires in-person attendance at least three days per week at a GT office or client site.

What you will do

  • Lead and manage M&A tax engagements, including buy-side and sell-side due diligence.
  • Advise clients on tax-efficient acquisitions, divestments, and corporate restructurings.
  • Mentor and develop Managers, Senior Associates, and Staff on transaction-related projects.
  • Perform detailed analyses of tax attributes, including IRC Section 382 limitations.
  • Collaborate with Transaction Services colleagues to review tax aspects in financial models and transaction documents.
  • Manage client expectations, communication, and project delivery timelines.

Requirements

  • Bachelor's degree in Accounting required; Master’s in Taxation or LLM strongly preferred.
  • CPA or JD/active law license required.
  • Minimum 8–12 years of progressive federal tax consulting or compliance experience.
  • 5–7 years of specific experience in Mergers and Acquisitions tax services and due diligence.
  • Proficiency in US GAAP, corporate consolidated returns, and partnership tax.
  • Ability to travel as needed for client engagements.
