What you will do

• Own end-to-end commercial contracting, including MSAs, order forms, DPAs, BAAs, vendor agreements, and NDAs.
• Establish and run the privacy and data-protection program covering GDPR, CCPA/CPRA, and HIPAA.
• Act as the primary legal partner to Sales, Finance, Product, and Engineering to facilitate deal closures and product shipments.
• Manage corporate governance, board consents, equity mechanics, and cap-table hygiene.
• Set the company posture on open-source licensing, IP, AI governance, and telecom/SIP regulatory requirements.
• Surgically manage outside counsel to balance quality and spend.

Requirements

• Experience as one of the first in-house lawyers at a high-growth tech company or as a senior commercial counsel.
• Deep expertise in enterprise, usage-based, and data-heavy commercial contracts.
• Fluency in privacy and data protection laws (GDPR, CCPA/CPRA, and ideally HIPAA).
• Must be based in the United States.

Nice to have

• Experience with open-source licensing, developer infrastructure, WebRTC, telephony, or AI.
• Background in corporate governance, equity reps (409A), and M&A.
• Familiarity with the EU AI Act and telecom regulations (E911, STIR/SHAKEN, TCPA).
