Legal Counsel

TL;DR

Legal Counsel (Corporate/FinTech): Provide legal guidance on commercial, regulatory, and operational matters for a B2B cannabis platform with an accent on drafting, negotiating, and interpreting complex enterprise and technology agreements. Focus on risk-based corporate governance support, compliance in a highly regulated environment, and advising on evolving regulatory frameworks including AI technologies.

What you will do

• Act as a strategic legal partner on commercial, regulatory, and operational matters.
• Draft, review, negotiate, and interpret commercial agreements (enterprise customer contracts, banking/fintech services, technology partnerships, and data licensing).
• Partner with Sales and Go-to-Market to support deal velocity and practical legal guidance for partnerships, corporate development, and new product launches.
• Support compliance obligations by working with outside regulatory counsel and advising on regulatory matters.
• Build and maintain commercial legal infrastructure (contract templates, playbooks, process improvements, and legal workflows).
• Support board and investor governance (board materials and minutes) and identify/escalate legal risks appropriately.

Requirements

• J.D. from an accredited law school and active membership in good standing with a U.S. state bar.
• At least 3–5 years of legal experience, with exposure to commercial contracts, SaaS agreements, or technology transactions.
• Strong experience drafting and negotiating complex commercial agreements.
• Ability to provide practical, risk-based solutions across areas such as regulatory matters, product development, privacy, employment, and corporate governance.
• Experience advising companies operating in regulated industries (fintech/payments/SaaS/technology preferred).
• New York or California Bar membership.

Location: Remote

Salary: $150,000 - $185,000 USD
