Counsel (Fintech): Providing legal advice and guidance to the Advisory & Broker-Dealer legal team with an accent on securities laws, FINRA rules, and fiduciary duties. Salary: $125,400 - $181,875

What you will do
- Advise on matters pertaining to the Investment Advisers Act of 1940 and the Securities Exchange Act of 1934.
- Ensure compliance with FINRA rules regarding broker-dealer conduct, advertising, and recordkeeping.
- Partner with business groups to address legal issues in product development, sales, and marketing.
- Support the negotiation of contractual arrangements with plan sponsors and individual clients.
- Interact with representatives from FINRA, SEC, and state regulatory agencies to assist with inquiries.
- Provide legal counsel on corporate governance and political law compliance.
Requirements
- Juris Doctor / Law Degree from an accredited law school.
- Current admission to at least one state bar and a license to practice law in the United States.
- 2 or more years of relevant legal experience.
- Ability to communicate complex legal concepts clearly to non-lawyers.
- Ability to work independently and manage multiple competing priorities.
Nice to have
- In-house experience at a broker-dealer, investment adviser, or insurance company.
- Familiarity with the Advisers Act, Exchange Act, and FINRA rules.
- Experience with stock plan services and equity compensation plan administration.
- Knowledge of political contributions and pay-to-play compliance for regulated firms.
