Senior Legal Counsel - Corporate

Location: Paris, Lyon, Strasbourg, or remote within Europe, France.

What you will do

• Handle corporate transactions including funding, M&A, investments, strategic operations, due diligence, investment agreements, and post-closing formalities.
• Act as corporate secretary for the French entity and eight worldwide subsidiaries, ensuring compliance with local corporate law.
• Manage worldwide ESOP plans and related formalities.
• Support legal strategy for group structuration and the establishment of new entities worldwide.
• Provide corporate advice to founders and stakeholders and collaborate with finance and external counsel.
• Contribute to other areas of business law and legal operations as needed.

Requirements

• French legal education is mandatory.
• Master 2 in Business Law.
• Admission to practice law in France (CAPA) is mandatory.
• 4–6 years of post-graduation experience in corporate law. Experience in other areas of business law is not mandatory.
• Excellent communication and legal drafting skills.
• Full written and oral proficiency in English and French.
• Proactive, autonomous, solution-driven, rigorous, detail-oriented, open-minded, and willing to change processes or try new approaches.

Nice to have

• Double major in business school, political science, or an LLM.
• Experience with startup clients.
• Experience in other areas of business law.
