What you will do

• Maintain corporate records and draft resolutions for the company and its subsidiaries.
• Support the formation of new entities and manage corporate reorganizations.
• Prepare and manage corporate filings, including annual declarations and extra-provincial registrations.
• Assist tax, treasury, and HR teams with corporate actions such as acquisitions and stock-based compensation plans.
• Prepare materials for Board of Directors and shareholder meetings.
• Manage regulatory filings with Canadian and U.S. securities authorities to ensure continuous disclosure compliance.

Requirements

• College diploma in paralegal studies or law degree required.
• Minimum of 3 years of relevant experience in a corporate legal department or law firm.
• Excellent command of both French and English (oral and written) is mandatory.
• High level of proficiency with Microsoft Office and entity management systems.
• Strong attention to detail and ability to manage priorities effectively.
