Salary: $90,000 - $120,000

What you will do

• Maintain corporate records, including resolutions, board changes, and annual reports.
• Oversee entity formation and maintenance for LLCs, corporations, and partnerships in U.S. and foreign jurisdictions.
• Manage corporate secretarial matters, governance documents, and board portal materials for committee meetings.
• Support IPO readiness activities, including stock exchange listing requirements and SEC filings.
• Administer equity awards using the company's equity management system.
• Support M&A closings, draft commercial contracts, and assist with KYC/AML compliance requests.

Requirements

• 10+ years of paralegal experience within a recognized U.S. law firm, financial institution, or fintech/tech company.
• Bachelor’s degree from a recognized U.S. college or university.
• Proven knowledge of rules and regulations applicable to U.S. public companies and the transition from private to public status.
• Experience with equity management systems (e.g., Fidelity Private Shares) and private company capital raising.
• Demonstrated experience with M&A transactions and IPO launch operations.
• Broad legal expertise in corporate law, banking, securities, and commercial contracts.
