TL;DR

Commercial Counsel, GTM (Legal): Review, draft, and negotiate high-volume commercial agreements with an accent on enterprise and government/public sector contracting, risk management, and enabling GTM teams to move faster. Focus on navigating procurement and regulatory requirements, partner/channel transactions, and applying AI and GenAI workflows to contracting and enablement.

Location: San Francisco, CA, USA (applications accepted from Austin and San Francisco, or candidates open to relocating to either)

Salary: $190k - $280k

Canva is a design platform company scaling its Enterprise and Public Sector business.

What you will do

  • Review, draft, and negotiate commercial agreements with customers, vendors, and partners.
  • Support and evolve contracting approaches for government and public sector customers, including procurement requirements and regulatory obligations.
  • Handle partner-led and channel transactions, including negotiating flowdown terms with resellers and channel partners.
  • Provide timely legal guidance to Sales, Finance, and other stakeholders.
  • Stay current on relevant laws and standards affecting enterprise and government contracts, including data privacy and AI regulations.
  • Build and improve contract templates, playbooks, escalation guides, and contracting workflows/tools; deliver enablement and training for GTM and cross-functional teams.

Requirements

  • Qualified to practice in the US
  • 5+ years of in-house experience at a SaaS or fast-growth tech company
  • Hands-on experience reviewing and negotiating a variety of contracts in a fast-paced technology company, including government/public sector SaaS transactions.
  • Ability to deliver practical, risk-calibrated advice that is actionable for non-legal stakeholders.
  • Excellent communication skills and comfort working with cross-functional and internationally distributed teams.
  • Comfort getting on the phone with customers and vendors and effectively balancing expectations.

Nice to have

  • Experience using contracting tools such as Ironclad and DocuSign.
  • Interest or experience using AI tools in a legal or operational setting; familiarity with GenAI fundamentals applied to contracting and enablement.
  • Experience negotiating with federal, state, and local government customers and familiarity with public sector procurement processes.
  • Experience supporting channel partner transactions (reseller and systems integrator agreements).
  • Familiarity with FedRAMP, NIST frameworks, or other government cybersecurity and compliance requirements.
