TL;DR

Senior Counsel, Corporate: Managing public company securities reporting, corporate governance, and M&A transactions with an accent on SEC compliance and strategic legal advisory. Focus on drafting complex transaction documentation, overseeing regulatory filings, and collaborating with executive management on treasury and corporate development initiatives.

Location: Must be based in Atlanta, Georgia (Hybrid: 4 days per week in office).

What you will do

  • Manage public company securities reporting including 10-Q, 10-K, 8-K, and proxy statements.
  • Ensure compliance with SEC, Sarbanes-Oxley, NYSE, and Dodd-Frank regulations.
  • Oversee corporate governance activities, including board and stakeholder meeting preparation.
  • Lead legal due diligence, drafting, and negotiation for mergers and acquisitions.
  • Advise executive management on treasury matters, debt issuances, and refinancing.
  • Collaborate with Investor Relations and Corporate Communications on disclosure activities.

Requirements

  • Juris Doctorate degree from an ABA-accredited law school.
  • Admitted to at least one U.S. state bar and in good standing.
  • 3-5 years of significant legal experience in federal securities laws and corporate governance.
  • 3-5 years of experience with mergers and acquisitions and corporate matters.
  • Excellent business judgment and strategic thinking capabilities.
  • Strong drafting skills and ability to work in a highly collaborative environment.

Nice to have

  • Experience with technology or litigation matters.
