What you will do

• Provide legal counsel for domestic and cross-border private investments, including structured products and private debt.
• Negotiate complex documentation such as note purchase agreements, indentures, and credit agreements.
• Advise investment professionals on legal risks related to transaction terms, structures, and consents.
• Support credit analysts on distressed investment restructurings and workouts.
• Oversee external counsel and manage special projects related to portfolio movements and client mandates.
• Ensure compliance with firm policies and regulatory requirements across all investment activities.

Requirements

• J.D. degree from an ABA accredited law school and active state bar membership.
• 10+ years of relevant transactional experience at a law firm or financial institution.
• Expertise in drafting and negotiating financing transaction documents.
• Strong analytical, research, and transactional management skills.
• Ability to work independently and collaborate effectively with investment teams.
• Must be based in or willing to work from Atlanta, Boston, New York, or other East Coast locations.

Nice to have

• Experience with asset-backed finance, including collateralized fund obligations and rated note fund structures.
• Background in securitizations and private placements.
• Experience with secondary trading and client onboarding matters.
