Sr. Counsel, Commercial

Location: United States — Bellevue, Chicago, Denver, Mountain View, New York City, San Francisco, Seattle, or Washington, D.C.

Salary: $186,900–$302,300 USD annually, depending on pay zone, plus potential annual bonus, equity, and benefits.

What you will do

• Lead complex commercial transactions from initial engagement through signature.
• Draft and negotiate SaaS master services agreements, order forms, statements of work, and related security, privacy, and AI terms.
• Partner with Sales, Deal Desk, Finance, Security, Privacy, Product, and other stakeholders to resolve deal execution issues.
• Advise on data privacy, information security, artificial intelligence, intellectual property, and open source software matters.
• Improve contract templates, fallback positions, legal guidance, and contracting processes.
• Provide concise legal advice that balances legal risk with commercial objectives.

Requirements

• 7+ years of relevant technology transactions experience at a law firm and/or in-house legal department.
• Significant experience drafting, negotiating, and closing complex sell-side software, SaaS, and cloud transactions with enterprise customers.
• Strong familiarity with data privacy, information security, AI-related terms, intellectual property, and open source software.
• Ability to independently manage sophisticated negotiations, exercise sound judgment, and translate legal and business risk into practical advice.
• Experience supporting cloud, infrastructure, platform, or other technology companies.
• Juris Doctor and active bar membership in good standing in at least one U.S. jurisdiction required.
