What you will do

• Lead complex commercial transactions from first engagement through signature, drafting and negotiating SaaS MSAs, security, privacy, and AI terms.
• Partner with Sales, Deal Desk, Finance, Security, and Product stakeholders to resolve issues affecting deal execution.
• Advise on enterprise technology transaction issues, including data privacy, information security, AI, intellectual property, and open source software.
• Improve legal templates, fallback positions, guidance, and overall contracting processes.
• Provide concise, practical legal advice that balances legal risk with commercial objectives.

Requirements

• 7+ years of relevant technology transactions experience at a law firm or in-house legal department.
• Significant experience drafting and closing complex sell-side software, SaaS, and cloud transactions with enterprise customers.
• Strong familiarity with data privacy, information security, AI-related terms, IP, and open source software.
• Juris Doctor and active bar membership in good standing in at least one U.S. jurisdiction.
• Ability to independently manage sophisticated negotiations and exercise sound judgment.
