What you will do

• Draft, review, and negotiate a wide range of commercial agreements including MSAs, SOWs, and SaaS contracts.
• Serve as the primary legal advisor for Sales, Finance, and Operations teams during contract negotiations.
• Balance risk mitigation with business objectives while managing customer and vendor redlines.
• Develop and standardize contract templates and legal workflows to improve operational efficiency.
• Advise on legal considerations related to cybersecurity, managed services, and government contracting requirements.
• Collaborate with executive leadership on contractual strategy and risk posture.

Requirements

• Active bar membership in good standing in at least one U.S. jurisdiction.
• United States Citizenship required.
• 4+ years of experience in commercial contracting, corporate law, or technology transactions.
• Strong experience negotiating commercial agreements and managing contract redlines.
• Ability to provide business-oriented legal guidance in a fast-paced environment.
• Excellent communication skills with the ability to explain legal concepts to non-technical stakeholders.

Nice to have

• Experience supporting government contractors or cybersecurity firms.
• Familiarity with federal contracting concepts like DFARS, FAR, and flow-down clauses.
• Working knowledge of compliance frameworks such as CMMC, NIST 800-171, or FedRAMP.
• Experience with contract lifecycle management tools like PandaDoc.
