TL;DR

Senior Counsel, Corporate: Primary and significant public company securities reporting and compliance responsibility, including ’33 Act, ’34 Act filings, Section 16, and NYSE listing standards with an accent on developing policies for SEC Regulations, Sarbanes-Oxley, and Dodd-Frank. Focus on corporate governance, Reg FD support, and collaborating on mergers and acquisitions processes including due diligence and transaction documentation.

Location: Atlanta, Georgia. Hybrid work schedule requiring at least four full days each week in an hirify.global office.

What you will do

  • Handle primary public company securities reporting and compliance, including 10-Q, 10-K, 8-K, proxy statements, Section 16 forms, and NYSE listing standards.
  • Develop and maintain policies and procedures for compliance with SEC Regulations, Sarbanes-Oxley, NYSE Regulations, Dodd-Frank, and other public company regulations.
  • Manage corporate governance tasks, such as preparing materials and minutes for board and annual stakeholder meetings.
  • Support Reg FD by reviewing press releases, investor presentations, and other disclosures with Investor Relations and Corporate Communications.
  • Collaborate on M&A processes with Corporate Development and operating groups, managing due diligence, drafting/negotiating documents, coordinating closings, and outside counsel.
  • Advise executive management on treasury matters, including stock and debt issuances and refinancing.

Requirements

  • Admitted to at least one U.S. state bar and in good standing.
  • 3-5 years of significant legal experience in federal securities laws, practice, and corporate governance.
  • 3-5 years of experience with mergers and acquisitions and other corporate matters.
  • Bachelor’s degree from an accredited university and Juris Doctorate from an ABA-accredited law school.
  • Excellent business judgment, strategic thinking, practical advice, interpersonal skills, drafting skills, and ability to work collaboratively.
  • Self-motivated with ownership of projects, process improvement experience, and flexibility for diverse projects.
