TL;DR

Sr. Counsel (Private Equity): Providing legal expertise for investments in private equity, real estate, and private debt with an accent on transaction management and regulatory compliance. Focus on reviewing and negotiating fund documentation, managing outside counsel, and mitigating legal risks.

Location: Must be based in Minneapolis, MN (hybrid: 3 days per week on-site)

Salary: $216,341 - $292,696 per year

What you will do

  • Provide legal support for General Account investments, primarily private equity, private debt, and private high yield credit.
  • Manage transactions by reviewing and negotiating subscription agreements, side letters, and fund agreements.
  • Oversee outside counsel and serve as the primary liaison between external legal experts and business teams.
  • Provide counsel on legal risks associated with current and anticipated business activities.
  • Ensure company-wide compliance with applicable laws and provide necessary education and training.
  • Develop and recommend company policy on legal and regulatory issues.

Requirements

  • Juris Doctorate and member of the bar licensed to practice in any U.S. jurisdiction.
  • Must be able to waive into or pass the Minnesota Bar if hired.
  • 7+ years of high-quality legal experience, ideally in a law firm environment.
  • Experience representing sponsors in fund formation or clients in private equity-related matters.
  • Substantive knowledge of M&A, corporate transactional law, capital markets, or securities laws.
  • Financial regulatory experience in insurance or securities is preferred.
