Fund Attorney - Assistant Vice President / Vice President

Location: New York, New York, United States; office work Monday–Thursday with remote work flexibility on Friday

Salary: $160,000–$220,000 base salary per year, plus equity and an annual performance bonus

What you will do

• Represent U.S. and Cayman open-end and closed-end private funds across compliance, regulatory, capital-raising, marketing, investor-relations, formation, structuring, and corporate matters.
• Negotiate agreements with fund managers, distribution agents, counterparties, and other stakeholders.
• Draft and review private fund offering materials, partnership agreements, contracts, side letters, and related legal documentation.
• Advise on the legal implications of new and existing products and services.
• Coordinate outside counsel on regulatory, corporate, and fund investment matters.
• Assist with regulatory filings and conduct legal research projects.

Requirements

• 4+ years of fund formation experience in the investment management sector.
• Strong knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations.
• Member in good standing of the Utah Bar or another state or jurisdiction.
• Strong regulatory experience and experience drafting and negotiating private fund documents.
• Strong interpersonal and leadership skills, with an organized, detail-oriented approach and broad business perspective.
• Ability to learn new topics and work in an evolving business environment.

Nice to have

• Law firm experience or in-house experience at an asset management firm.
