TL;DR

Fund Attorney - Assistant Vice President / Vice President (Private Funds): Representing U.S. and Cayman private funds on compliance, regulatory issues, capital raising, fund formation, structuring, and corporate transactions with an accent on Regulation D and the Investment Company Act of 1940. Focus on drafting and negotiating fund documents, side letters, placement agreements, advising on product offerings, and coordinating regulatory filings.

Location: New York, NY office Monday-Thursday, remote Friday

Salary: $160,000–$220,000 base + equity + annual bonus

What you will do

  • Negotiate agreements with fund managers and distribution agents.
  • Draft and review private fund offering materials, partnership agreements, and legal documentation.
  • Advise on legal implications of new and existing products and services.
  • Coordinate outside counsel on regulatory, corporate, and fund investment matters.
  • Draft contracts, NDAs, and assist with regulatory filings and research.

Requirements

  • 4+ years of fund formation experience in investment management
  • Strong knowledge of Investment Company Act of 1940, Investment Advisers Act, Securities Act of 1933, Securities Exchange Act of 1934, and FINRA regulations
  • Member in good standing of Utah Bar, another state, or jurisdiction
  • Strong interpersonal and leadership skills
  • Willingness to learn and work in evolving environment
  • Organized, detail-oriented with big-picture thinking

  • Law firm or in-house experience at asset management firm
