TL;DR

Senior Commercial Counsel (Legal AI): Owning high-volume customer-side negotiations and building scalable commercial legal processes for a fast-growing legal AI platform with an accent on MSAs, order forms, DPAs, NDAs, and customer paper. Focus on balancing legal risk with business velocity, supporting sales teams under pressure, and developing playbooks and templates to enable revenue growth.

Location: Must be based in the United States or Canada. Remote role, hybrid (in-office Mon/Wed/Fri) if within ~50 miles of San Mateo, CA or Provo, UT offices.

Salary: $170,000 – $225,000 (US-based)

What you will do

  • Manage high-volume customer negotiations, reviewing/redlining customer paper and bespoke terms.
  • Draft, review, and negotiate commercial agreements including MSAs, order forms, DPAs, and NDAs.
  • Support sales through deal cycles, balancing legal risks with business objectives and timelines.
  • Work independently on commercial matters, escalating complex issues as needed.
  • Explain legal concepts to non-legal stakeholders in sales, product, and customer success.
  • Contribute to scalable processes, templates, and playbooks for go-to-market teams.
  • Handle vendor-side contracting and additional projects as business evolves.

Requirements

  • JD and active bar membership in at least one US jurisdiction.
  • 5-9 years technology transactions experience in B2B SaaS, with in-house legal background.
  • Strong drafting/negotiation skills for commercial agreements (MSAs, order forms, DPAs, NDAs).
  • Experience managing customer-side negotiations and supporting sales teams.
  • Ability to work independently, escalate appropriately, and communicate clearly to non-legal stakeholders.
  • Proven balance of legal risk and business goals, comfort in high-pressure environments.

  • Familiarity with AI/ML, legal tech, or privacy (CIPP/US/E).
