Legal Counsel (SaaS)

Location: Must be based in and able to work full-time in Canada or the US

Salary: 165,000 - 205,000 CAD per year

What you will do

• Lead the end-to-end review, drafting, and negotiation of SaaS MSAs, NDAs, and vendor contracts.
• Partner with Finance, Sales, and Leadership to align legal terms with business objectives and revenue policies.
• Advise on corporate governance, intellectual property protection, and regulatory compliance including AML and privacy.
• Act as a legal stakeholder for AI initiatives, advising on data privacy, ethics, and IP rights.
• Implement legal technology and infrastructure to reduce contract turnaround time and manage external counsel spend.

Requirements

• 3–5 years of private practice experience and 2+ years in-house at a high-growth technology company.
• Juris Doctor (JD) or equivalent and membership in good standing with the Law Society of Ontario.
• Strong familiarity with US commercial law and SaaS contracting market standards.
• Proven ability to navigate ambiguity and manage high volumes of tasks autonomously in a startup environment.
• Proficiency with CRM (HubSpot) and Contract Management Systems.
• Must be able to live and work full-time in the US or Canada.
