What you will do

• Manage the full commercial deal cycle from negotiation to close, including complex enterprise transactions and customer paper.
• Draft and negotiate a full range of commercial agreements such as MSAs, order forms, DPAs, and NDAs.
• Build and iterate on commercial playbooks, escalation frameworks, and template libraries to scale the business.
• Create self-serve resources to empower sales, customer success, and go-to-market teams.
• Partner cross-functionally with product, security, and sales teams to balance legal risk with deal velocity.
• Mentor and develop junior members of the commercial legal team.

Requirements

• JD and active bar membership in at least one US jurisdiction.
• 8+ years of technology transactions experience, with at least 4+ years in a B2B SaaS environment.
• Minimum 3 years of in-house legal experience, including at least 1 year in a leadership capacity.
• Proven ability to independently manage complex enterprise deal cycles and customer paper.
• Experience building and scaling commercial legal infrastructure and GTM resources.
• Must be based in the USA or Canada.

Nice to have

• Experience at a high-growth startup (Series B through pre-IPO).
• Familiarity with AI, machine learning, or legal technology sectors.
• Privacy certifications (CIPP/US, CIPP/E) or deep experience with GDPR and CCPA.
• Experience advising on AI-related legal issues, such as model training and responsible AI frameworks.
• Prior experience in a top-tier law firm specializing in technology transactions.
