Corporate Counsel

TL;DR

Corporate Counsel (SaaS): Serving as trusted legal advisor supporting legal operations and business initiatives in behavioral health technology with an accent on commercial contracts, regulatory compliance, and risk mitigation. Focus on drafting and negotiating SaaS agreements, implementing CLM systems, integrating AI tools into workflows, and collaborating with cross-functional teams.

Location: Remote (US-based, 401k, HIPAA/FERPA compliance)

What you will do

• Review, draft, and negotiate commercial agreements including SaaS, channel, vendor, and privacy contracts.
• Collaborate with Sales, Information Security, Procurement, and other teams to align legal strategies with business goals.
• Triage and manage end-to-end contract lifecycle from intake to reporting.
• Maintain legal processes for consistency, efficiency, and compliance.
• Lead implementation of Contract Lifecycle Management (CLM) system and technology improvements.
• Handle ad hoc legal projects, develop training materials, and support team initiatives.

Requirements

• Juris Doctor (JD) from accredited law school; active bar membership in good standing
• 5+ years practicing law, including 2+ years in-house experience
• Expertise in commercial contracting and corporate law; SaaS/technology sector preferred
• Familiarity with data privacy, IP, and regulations (HIPAA, FERPA, GDPR)
• Ability to integrate AI tools into legal workflows
• Excellent communication, negotiation, project management, and problem-solving skills
• Proactive mindset comfortable with ambiguity and building processes
