What you will do
- Provide senior-level commercial contracting support and partner with cross-functional stakeholders to meet business needs
- Independently draft, review, negotiate, and finalize commercial agreements using approved templates
- Review third-party terms, identify risks, and propose practical solutions
- Support execution of complex transactions like collaborations, technology, consulting, and financing agreements
- Prepare documentation for corporate entity management and improve contracting tools, processes, and controls
- Serve as primary contact for routine contracting inquiries and recommend process improvements
Requirements
- Bachelor’s degree in legal studies, business, or related field with 6+ years as paralegal/contracts specialist in commercial/corporate transactions, or paralegal certification with 8+ years experience
- Ability to operate independently with sound judgment on risk, priorities, and execution
- Strong experience drafting, reviewing, negotiating commercial agreements and managing high-volume complex workload
- Proven ability to manage competing priorities in fast-paced global cross-functional environment
- Must be located in Canada or the United States
Nice to have
- Experience in law firm and/or in-house environments
- Knowledge of relevant laws, regulations, and industry guidance for commercial contracts
