Salary: $119,500 – $179,000

What you will do
- Manage the governance calendar and ensure timely execution of all Board, Committee, and Shareholder meetings.
- Prepare and coordinate agendas, board decks, resolutions, and minutes with high accuracy and professionalism.
- Oversee domestic and foreign qualifications, annual filings, and Secretary of State requirements across multiple jurisdictions.
- Maintain and audit official corporate records, including minute books, charters, bylaws, and organizational charts.
- Lead intake and oversight for service of process, subpoenas, and other legal notices.
- Mentor junior legal staff and drive continuous improvement in governance processes and documentation systems.
Requirements
- 6–8+ years of corporate paralegal experience with a significant focus on corporate governance and entity management.
- Bachelor’s degree and/or paralegal certificate preferred.
- Experience supporting regulated insurance entities strongly preferred.
- Deep knowledge of corporate secretarial practices and entity compliance.
- Proficiency with Microsoft Office; experience with entity management software is a plus.
