What you will do

• Own the governance calendar and ensure timely execution of Board, Committee, and Shareholder meetings.
• Prepare agendas, board decks, resolutions, and minutes with high accuracy.
• Manage domestic and foreign qualifications, annual filings, and Secretary of State requirements.
• Oversee the corporate structure, including organizational charts and entity records.
• Lead intake and oversight for service of process, subpoenas, and other legal notices.
• Mentor junior legal staff and drive continuous improvement in governance processes.

Requirements

• 6–8+ years of corporate paralegal experience with a focus on governance and entity management.
• Bachelor’s degree and/or paralegal certificate preferred.
• Experience supporting regulated insurance entities strongly preferred.
• Strong knowledge of corporate secretarial practices and entity compliance.
• Proficiency with Microsoft Office; experience with entity management software is a plus.
