Commercial Counsel, Compute & Infrastructure: Lead legal execution for infrastructure transactions spanning server compute, datacenters, energy procurement, and supply chain with an accent on negotiating strategic agreements and coordinating construction deals. Focus on structuring hardware procurement, power purchase agreements, and ensuring alignment with AI compute strategy under massive scale.

Location: San Francisco, CA; New York City, NY; or Seattle, WA offices at least 3 days a week (hybrid policy)

Salary: $320,000 - $385,000 USD

What you will do

• Negotiate strategic agreements with technology partners and developers for largest capital commitments
• Structure and negotiate hardware procurement, capacity reservations, power purchase, and utility interconnection agreements
• Coordinate construction agreements including design-build contracts, equipment procurement, and commissioning
• Manage specialized outside counsel to align work with commercial objectives
• Collaborate with compute transaction managers, finance, and corporate development on deal structuring
• Assess datacenter legal structures for AI-specific needs like high-density power and liquid cooling

Requirements

• JD and active membership in at least one U.S. state bar
• 8-12+ years relevant legal experience in cloud-hardware, semiconductor procurement, datacenter construction, real estate, or operations
• Fluency in commercial real estate, construction contracting, datacenter leases, and financing
• Experience with EPC, AIA, design-build arrangements, and project finance
• Strong coordination with outside counsel and business teams
• Interest in infrastructure for frontier AI compute

Nice to have

• In-house experience at cloud providers or datacenter developers
• Experience at tech companies with datacenter programs or infrastructure finance law firms
• Familiarity with custom hardware, global supply chains, tax structures, or sale-leaseback
