What you will do
- Lead drafting and review of SEC filings, including annual, quarterly, and 8-K reports.
- Manage corporate governance processes, board and committee facilitation, and director compliance.
- Provide expert advice on securities law, including insider trading policies and public disclosure regulations.
- Support equity plan administration and provide legal guidance on stock-based compensation.
- Monitor Nasdaq requirements and evolving corporate governance best practices.
- Collaborate cross-functionally to support M&A activities and corporate policy development.
Requirements
- J.D. degree from an accredited law school and active membership in at least one U.S. state bar.
- 5-7+ years of relevant experience with a strong focus on securities law, SEC reporting, and public company governance.
- Deep knowledge of the ’33 and ’34 Acts, SEC regulations, and Nasdaq standards.
- Proven ability to convey complex legal concepts to non-legal leadership stakeholders.
- Excellent drafting, organizational, and project management skills.
- Must be based in the U.S. for this remote role.
