Senior Associate (Technology M&A)

TL;DR

Senior Associate (Technology M&A): Delivering enterprise technology diligence and execution support for private equity and strategic clients with an accent on IT infrastructure, application architecture, and cloud economics. Focus on translating complex technical findings into actionable transaction outcomes, integration planning, and value creation strategies.

Location: Must be based in the United States and able to commute to an Arlington, VA office or client site at least three days per week.

What you will do

• Execute buy-side and sell-side enterprise technology diligence workstreams.
• Assess cloud platforms, core applications, data architectures, and IT operating models.
• Perform qualitative and quantitative analyses to identify investment risks and opportunities.
• Develop clear, insight-driven diligence deliverables that bridge technical findings and business impact.
• Support complex integration and separation planning following M&A transactions.
• Collaborate with cross-functional teams, including Cyber, Strategy, and Financial Due Diligence.

Requirements

• Bachelor’s degree in Computer Science, Engineering, Information Systems, Accounting, or related field.
• Minimum 2+ years of experience in technology diligence, IT advisory, or M&A consulting.
• Strong understanding of cloud platforms, software development lifecycles, and technology cost structures.
• Proven ability to analyze quantitative/qualitative data and synthesize insights.
• Experience supporting private equity-backed transactions.
• Must be able to travel up to 50% for client engagements.

Nice to have

• Background in SaaS or digital product engineering.
• Experience with AI-enabled initiatives and automation strategy.
• Familiarity with separation/integration (Day 1) planning.
