TL;DR

Sr. Commercial Transactions Counsel (SaaS): Managing HighLevel's commercial contract portfolio, including drafting and negotiating agreements, and overseeing a contract manager. What you will do

  • Independently draft, review, and negotiate a range of commercial agreements, including procurement contracts, integration partner agreements, and enterprise customer agreements.
  • Make risk-calibrated decisions on commercial terms, developing negotiation playbooks and leveraging creative deal structures.
  • Consult with the Cybersecurity team on vendor security assessments and customers' cybersecurity commitments.
  • Partner with Finance to ensure optimal pricing structures and favorable commercial terms.
  • Act as a trusted legal advisor to senior business leaders, translating complex contract terms and legal risk into actionable guidance.
  • Maintain and continuously improve contract templates, clause libraries, and playbooks.

Requirements

  • J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • 8+ years of commercial transactions experience, with a strong preference for candidates who have spent meaningful time in-house at a technology or SaaS company.
  • Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight.
  • Proven track record of advising senior business leaders and non-legal stakeholders on contractual risk.
  • Familiarity with contract lifecycle management platforms (Ironclad experience a plus).
  • Working knowledge of intellectual property, data privacy, and cybersecurity concepts as they arise in commercial agreements.

  • Experience in the SaaS, marketing technology, or digital marketing industry.
  • Experience supporting M&A or other strategic transactions from a commercial contracts perspective.
  • Experience scaling contract operations in a high-growth environment.
