What you will do
- Independently draft, review, and negotiate a range of commercial agreements, including procurement contracts, integration partner agreements, and enterprise customer agreements.
- Make risk-calibrated decisions on commercial terms, developing negotiation playbooks and leveraging creative deal structures.
- Consult with the Cybersecurity team on vendor security assessments and customers' cybersecurity commitments.
- Partner with Finance to ensure optimal pricing structures and favorable commercial terms.
- Act as a trusted legal advisor to senior business leaders, translating complex contract terms and legal risk into actionable guidance.
- Maintain and continuously improve contract templates, clause libraries, and playbooks.
Requirements
- J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
- 8+ years of commercial transactions experience, with a strong preference for candidates who have spent meaningful time in-house at a technology or SaaS company.
- Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight.
- Proven track record of advising senior business leaders and non-legal stakeholders on contractual risk.
- Familiarity with contract lifecycle management platforms (Ironclad experience a plus).
- Working knowledge of intellectual property, data privacy, and cybersecurity concepts as they arise in commercial agreements.

- Experience supporting M&A or other strategic transactions from a commercial contracts perspective.
