What you will do

• Lead negotiations for commercial agreements like SaaS licenses, Master Purchasing Agreements, Data Processing Agreements, and Service Agreements.
• Collaborate with sales, finance, and security stakeholders to ensure alignment on deal terms and business objectives.
• Provide strategic legal advice on complex commercial transactions, identifying and mitigating potential risks while maximizing business opportunities.
• Draft, review, and negotiate a broad range of legal documents and contracts, balancing business needs with legal protections.
• Develop and maintain strong relationships with key stakeholders, acting as a trusted legal advisor and partner.
• Stay abreast of industry trends, legal developments, and regulatory changes impacting commercial operations.
• Assist in the development and implementation of best practices and standardized templates for contracts.
• Mentor and provide guidance to junior legal team members.

Requirements

• Juris Doctorate (J.D.) degree from an accredited U.S. Law School and active admission to a State Bar.
• 10+ years of experience drafting and negotiating a wide range of commercial contracts, with an emphasis on software licensing for cloud-based providers and supporting complex indirect sales deals.
• Proven track record of successfully negotiating and closing complex commercial deals involving data privacy and data security documents.
• Strong drafting and negotiation skills along with excellent business judgment and critical thinking skills.
• Ability to collaborate with legal and non-legal colleagues and manage multiple competing priorities in a fast-paced, remote environment.
• Excellent interpersonal, verbal, and written communication skills.
