Managing Legal Counsel (SaaS): Providing legal assistance and counseling for complex commercial transactions, including software licensing, SaaS agreements, and strategic alliances with an accent on corporate, commercial, and intellectual property matters, regulatory compliance, and data protection risks. Focus on advising management, structuring and negotiating high-value commercial contracts, and ensuring legal support in a global, matrixed environment.

Location: Hybrid Role. Must be able to attend meetings and/or conferences onsite as needed. The position will be based in the United States. Preferred office locations are Tampa, FL, Cary, NC, Waltham, MA, Philadelphia, PA, Kennesaw, GA, New York, Chicago, and Atlanta. Candidates must reside near a hirify.global office.

Salary: $133,400.00 – $238,400.00 USD

What you will do

• Provide hands-on legal assistance in structuring, drafting, negotiating, and enforcing complex commercial transactions including SaaS and software licensing agreements.
• Offer comprehensive legal counseling to management and sales leaders on corporate, commercial, and intellectual property matters.
• Collaborate with CP & ESG management on contractual and regulatory exposures related to new customer offerings, data protection, and cybersecurity risks.
• Develop strong rapport with local sales teams to deliver effective and high-quality legal services.
• Acquire in-depth knowledge of businesses, technology, markets, and regulatory environment to provide strategic legal advice.
• Manage outside counsel and collaborate with other attorneys within the Global Law and Compliance Department.

Requirements

• Candidates must have a J.D. or equivalent law degree from an internationally recognized educational institution.
• Minimum of 8-10 years of progressively responsible corporate/commercial legal experience, preferably with a multinational law firm and established corporate law department.
• Substantial legal experience focused on the drafting and negotiation of sophisticated commercial contracts, with a strong working knowledge of, and experience and comfort with, SaaS arrangements and software and e-commerce transactions.
• Experience with financial products and data privacy/protection are strongly preferred.
• Outstanding communication, interpersonal, and leadership skills are critical to success, including the demonstrated ability to translate complex legal concepts.
• The ability to lead and manage direct report(s).
