Senior Commercial Counsel (SaaS): Leading the drafting, review, and negotiation of commercial agreements for a fast-growing SaaS company with an accent on managing risk and supporting continued growth. Focus on providing practical, customer-friendly legal guidance while scaling legal processes across North America.

Location: Hybrid role based in San Mateo, CA with onsite expectations of 3x/week (Tuesday - Thursday). Must be licensed to practice law in California.

Salary: $161,000 - $200,000 USD + bonus

What you will do

• Lead the drafting, review, and negotiation of a wide range of commercial agreements.
• Serve as a trusted advisor to Sales, Channels, Customer Success, Sourcing, and other stakeholders.
• Build, refine, and maintain commercial templates, playbooks, and workflows.
• Collaborate with legal colleagues across regions to ensure alignment on commercial standards, policies, and best practices.
• Advise on compliance & risk, including staying current on legal and regulatory developments related to IP, data privacy, security, and commercial contracting.

Requirements

• 8+ years of experience as a transactional attorney, ideally in-house at a SaaS or technology company and/or at a leading law firm.
• Deep experience negotiating and advising on SaaS agreements, partner and channel contracts, vendor agreements, DPAs, and professional services agreements.
• Strong working knowledge of commercial contracts, intellectual property, and data privacy regulations.
• Proven ability to manage multiple priorities, handle ambiguity, and operate independently in a fast-paced environment.
• Excellent communication skills and comfort collaborating with senior stakeholders across functions and time zones.
• JD from an accredited U.S. law school and active license to practice law in California.
