Legal Counsel (Prime Brokerage & Clearing Documentation)

Location: London, United Kingdom; hybrid workplace. A valid UK working permit is mandatory. Fixed-term contract with an initial duration of 6 months.

What you will do

• Identify and review documentation required for securities, OTC derivatives, and exchange-traded derivatives.
• Conduct client due diligence reviews and documentation assessments.
• Draft, review, and negotiate ISDA Agreements, Prime Brokerage Agreements, Derivatives Clearing Agreements, MCAs, GMSLAs, ACAs, amendments, and ancillary documentation.
• Lead negotiations with clients, counterparties, and external counsel through timely execution.
• Partner with Legal, Credit, Risk, Sales, and Operations to resolve negotiation points and secure approvals.
• Monitor regulatory developments, maintain documentation records and tracking systems, and support process improvement projects.

Requirements

• Qualified lawyer, legal counsel, or documentation specialist with experience in an investment bank, financial institution, financial markets law firm, or on-site banking-client secondment.
• Proven experience negotiating trading and financial markets documentation, including mandatory hands-on experience with Prime Brokerage and/or Clearing Agreements.
• Excellent knowledge of derivatives and securities documentation frameworks.
• Law, Business Administration, or equivalent relevant degree or qualification.
• Excellent drafting, negotiation, analytical, problem-solving, written, and verbal communication skills.
• Strong stakeholder management experience with front-office, legal, risk, and credit teams.
• Proficiency in Microsoft Word and Excel.
• Ability to work independently, manage multiple negotiations and competing priorities, and maintain high attention to detail.
• Highly organised, proactive, collaborative, and able to mentor and support colleagues.

Nice to have

• Experience with listed and OTC derivatives documentation.
• French, Spanish, Italian, or German language skills.
• Experience supporting global markets, prime brokerage, or clearing businesses.
