Corporate Counsel – Corporate Securities, M&A and Governance

Location: Seattle, USA; the role can be based in Mountain View, CA or Seattle, WA. Some travel is required.

Base pay: $140,000–$240,000/year, depending on geographic market, knowledge, skills, and experience.

What you will do

• Advise internal stakeholders on global corporate governance, SEC regulatory matters, corporate policies, repeatable processes, and global subsidiary management.
• Partner with Global Total Rewards, Equity Administration, Treasury, Tax, External Reporting, Accounting, Corporate Development, Investor Relations, and Communications.
• Review and negotiate M&A transactions and credit facilities.
• Review and negotiate contracts with third-party legal service providers.
• Advise business partners on risks and propose mitigation strategies.
• Perform legal, governance, and administrative duties as assigned.

Requirements

• Juris Doctorate degree from an accredited law school.
• Legal experience at a top-tier U.S. law firm.
• 3–6 years of relevant legal experience advising corporate clients.
• Active license to practice law in at least one U.S. jurisdiction.
• Strong verbal and written communication skills with senior management, corporate departments, and employees at all levels.
• Ability to analyze corporate legal matters of varying complexity and balance legal risks with business needs.
• Developed business acumen and ability to anticipate issues arising in different business settings.
• Ability to provide timely, responsive advice in a fast-paced environment and work at different times of day as needed to support global operations.
