Senior Corporate Counsel

Location: Hybrid in San Francisco, CA or Phoenix, AZ; required to work in the office three days per week on Mondays, Wednesdays, and Thursdays.

Salary: $235,000–$295,000 annually in San Francisco, plus eligibility for bonus, equity, and benefits.

What you will do

• Drive the corporate legal function as the business builds toward public company readiness.
• Manage corporate governance matters, including board and committee materials, resolutions, and minutes.
• Oversee compliance with federal securities laws and related regulations, including preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports, and 1934 Act filings when applicable.
• Draft and review corporate communications and public disclosures.
• Lead the legal work for capital raising, mergers and acquisitions, and other strategic transactions, including internal coordination and due diligence.
• Support audits, financial reporting, SOX compliance, international expansion, subsidiary structures, internal processes, and outside counsel management.

Requirements

• J.D. degree from an accredited law school and a license to practice in California or Arizona, or the ability to apply for California or Arizona Registered In-House Counsel.
• 5+ years of relevant experience, including corporate and securities work at a major law firm.
• Excellent management skills, business judgment, decision-making ability, and capacity to provide legal advice.
• Excellent interpersonal skills, high initiative, flexibility, and a collaborative approach.
• Advanced analytical ability, attention to detail, strong organizational skills, and the ability to work in a fast-paced environment.
• Proactive, adaptable, driven, and able to prioritize and manage multiple projects with poise and patience.
• Ability to collaborate cross-functionally and handle responsibilities of varying scope.
• Ability to contribute to strategic and operational goals and work closely with business teams on execution.
• Ability to identify and analyze legal issues, draft key documents, and present clear recommendations.
