Commercial Transactions Attorney - Senior Counsel (Hybrid)

Location: Hybrid, requiring three days per week in the office in Cedar Rapids, Iowa; Denver, Colorado; or Philadelphia, Pennsylvania. Occasional travel may be required. Relocation assistance is not provided.

Salary: $160,000–$180,000 annually, plus potential annual bonus.

What you will do

• Manage legal matters for senior management and other in-house stakeholders, including high-value vendor agreements, internal policy revisions, and regulatory responses.
• Advise business teams on complex issues affecting significant functional areas and negotiate disputes with potentially serious company impact.
• Identify the need for new legal documents and templates and address gaps in corporate policies.
• Manage matters handled by outside counsel and select counsel from the approved panel.
• Work independently and lead or participate in departmental and cross-functional working groups.

Requirements

• JD from an ABA-accredited law school.
• At least five years of relevant legal experience.
• Licensed or eligible to practice in the applicable state.
• Strong written and oral communication skills for the intended audience.
• Sound judgment in a fast-paced environment, agility and adaptability in providing legal advice, and comfort working in a rapidly changing corporate environment.
• Proficiency with Microsoft Office.
• Must have legal authorization to work in the United States without immigration sponsorship or an employer-of-record arrangement.

Nice to have

• Experience with master services agreements and related outsourcing transaction agreements.
• Experience with complex software, cloud, and other technology agreements, including matters with AI components.
• Working knowledge of US and EU data privacy and security requirements.
