Senior Legal Counsel - Commercial Transactions

Location: Hybrid, based at the San Mateo, California headquarters, United States

Base salary: USD 230,000–285,000 yearly, plus eligible variable compensation; bonus/equity may be available.

What you will do

• Draft, review, and negotiate cloud/SaaS, channel, reseller, referral, managed services, marketplace, data protection, data processing, business associate, professional services, vendor, and compliance-driven agreements.
• Advise Partner, Channels, and Strategic Alliances teams on legal risks, business strategies, and transaction structuring across global engagements.
• Maintain and improve commercial contract templates, playbooks, standard clauses, and standardized documentation across jurisdictions.
• Work with Sales, Finance, Deal Desk, and Professional Services to expedite transactions and align contracts with compliance requirements.
• Support vendor onboarding, contract review policies, and cross-functional initiatives.
• Monitor laws and regulations related to AI, intellectual property, open source, privacy, and security.

Requirements

• 8+ years of transactional attorney experience at a leading law firm or in-house legal department, preferably at a multinational SaaS company.
• Expertise in partner and channel agreements, SaaS agreements, customer agreements, professional services, vendor agreements, business associate agreements, and data processing agreements.
• Strong business judgment and the ability to develop practical, creative solutions to complex legal matters.
• Excellent interpersonal, written, and verbal communication skills.
• Ability to work across multiple time zones and cultures with remote and global teams.
• Strong understanding of commercial contract processes, intellectual property, international data privacy, and data protection law.
• Responsiveness, service orientation, accountability, professionalism, attention to detail, and the ability to work under tight timelines.
• Ability to collaborate effectively across functions, build relationships with non-legal business partners, and work within a team.
• Juris Doctorate from an accredited U.S. law school and license to practice law in California.
• Ability to view legal issues holistically, operate as a business person, and help drive the business forward.
