Fund Formation Paralegal

Location: Chicago, United States

Salary: $35.00–$50.00 per hour ($72,800–$104,000 annually), based on geographic location, experience, and skills.

Legal services organization supporting attorneys and clients in emerging company, venture fund, and securities matters.

What you will do

• Provide paralegal support to attorneys and senior paralegals on emerging company and venture fund matters.
• Prepare and maintain organizational documents, partnership agreements, limited liability company agreements, side letters, transfer agreements, admission agreements, and amendments.
• Conduct investor suitability due diligence and review documents for fund formation opinions and supporting materials.
• Research federal and state securities regulations and prepare and file required notices.
• Handle SEC compliance reporting for venture fund clients regarding public company stock portfolios.
• Submit timesheets and e-timelogs and complete other administrative duties as assigned.

Requirements

• 1–3 years of fund formation experience.
• Bachelor’s degree.
• Availability to work overtime as required.
• Ability to bill a minimum of 1,600 hours annually.
• After orientation, proficiency with Microsoft Office, iManage, and other firm applications.
• Ability to work independently and as part of a team in a fast-paced environment with multiple supervisors, deadlines, changing assignments, and changing schedules.
• Ability to organize and prioritize assignments and delegate tasks to service departments when necessary.
• Excellent written, communication, and proofreading skills with strong attention to detail.
• Ability to work well with colleagues and clients, work under pressure, and demonstrate initiative, diplomacy, tact, reliability, commitment, and punctuality.
