Legal Counsel (Software Licensing)

What you will do

• Draft, review, negotiate, and translate sales, service, subcontract, software, procurement, and non-disclosure agreements.
• Review and revise limitation of liability, intellectual property indemnity, license grants, warranty, and other contract terms in line with company policies.
• Support sales and business teams on opportunities, including RFP processes and contract terms requiring approval.
• Coordinate contract reviews across product, services, finance, and other business areas.
• Revise contract templates and provide contract interpretation and translation support.
• Identify red-flag risks and protect the company from unnecessary liabilities, damages, and penalties by securing appropriate approvals.

Requirements

• Juris Doctor degree and a license to practice law in good standing in any jurisdiction.
• Strong analytical skills and strong contract formation, preparation, drafting, review, management, and negotiation skills.
• Ability to identify key risk and policy issues in transactional situations and opportunities.
• Basic understanding of United States software intellectual property law and practices.
