Canadian Structured Finance – Legal Counsel, Assistant Vice President/Senior Analyst (Structured Finance)

Location: Toronto, Canada; hybrid work with four days in-office each week in most locations.

What you will do

• Review documentation across issuance types and asset classes to support the evaluation of Structured Finance credit ratings.
• Advise analysts, team members, and rating committees on legal issues and material exceptions to DBRS criteria and methodologies.
• Communicate positions on legal, structural, and methodology matters to issuers, agents, advisors, and other external stakeholders.
• Evaluate and manage legal and reputational risks related to credit ratings.
• Monitor legislative and case law developments and advise on relevant changes.
• Support drafting, updating, and implementing Canadian Structured Finance policies, procedures, and methodologies; assist other Global Structured Finance teams, including CMBS.

Requirements

• At least three years of relevant experience at a recognized law firm or as in-house counsel.
• LL.B/J.D. degree and membership in good standing with the Law Society of Ontario.
• Sound knowledge of secured lending transactions and general corporate commercial law.
• Excellent verbal and written interpersonal and communication skills.
• Solid time management skills and strong attention to detail.
• Self-starter and team player able to work with a sense of urgency in a fast-paced environment.

Nice to have

• Knowledge of Canadian bankruptcy and insolvency law.
• Knowledge and experience with securitization transactions, including ABCP, ABS, RMBS, and CMBS, at a recognized law firm.
