Deputy General Counsel (Digital Assets)

Location: Remote; the role requires active membership in good standing in at least one U.S. jurisdiction and eligibility to register as in-house counsel in additional jurisdictions as needed.

What you will do

• Serve as principal deputy to the Chief Legal Officer and represent the Legal function before the Board, executives, investors, regulators, counterparties, and external counsel.
• Lead complex regulatory, transactional, strategic, and corporate workstreams with independent legal judgment.
• Advise on stablecoin issuance and redemption, payments, blockchain infrastructure, custody, licensing, money transmission, banking, BSA/AML/CFT, sanctions, securities, and commodities matters.
• Negotiate complex commercial agreements, including stablecoin issuance-as-a-service, partnership, sponsor, enterprise customer, vendor, and technology agreements.
• Support corporate governance, venture financings, strategic investments, acquisitions, litigation, regulatory enforcement, intellectual property, employment, privacy, cybersecurity, tax, and procurement matters.
• Build and manage the in-house legal team and its operational infrastructure, including outside counsel relationships, matter management, contract lifecycle systems, knowledge management, and Legal AI privilege protocols.

Requirements

• Juris Doctor from a top-tier ABA-accredited law school and active membership in good standing in at least one U.S. jurisdiction.
• 10+ years of progressive legal experience combining top-tier law firm work with in-house experience at a regulated financial services, fintech, or digital asset institution.
• Deep expertise in U.S. financial services regulation covering payments, money transmission, banking, digital assets, BSA/AML, sanctions, and stablecoin regulation.
• Direct experience with stablecoin issuance, digital asset custody, blockchain infrastructure, or comparable digital asset products.
• Strong commercial contract drafting and negotiation skills, plus corporate governance and venture-backed company experience.
• Ability to lead independent workstreams, manage outside counsel, and directly manage in-house attorneys while advising senior executives and regulators.

Nice to have

• International, federal, or state regulatory licensing experience in money transmission, banking, trust, or digital asset regulation.
• Securities, CFTC, commodities, complex litigation, regulatory enforcement, or arbitration experience.
• Intellectual property strategy, employment, executive compensation, equity administration, or international regulatory experience.
