Associate General Counsel, Corporate & Securities (Blockchain)

Location: Hybrid role based in San Francisco, CA or New York, NY. Candidates must be authorized to work in the United States; visa sponsorship is not available.

Base compensation: $227,700–$341,550 per year, plus a 25% annual bonus target and company equity in the form of RSUs.

What you will do

• Advise on corporate governance, subsidiary management, board and committee resolutions, approvals, and commercial transactions.
• Support public company reporting, including Exchange Act filings, proxy statements, Section 16 compliance, insider trading policies, and board and audit committee matters.
• Provide securities law guidance on registered offerings, shelf registrations, private placements, and equity plans.
• Lead M&A transactions from structuring and diligence through negotiation, regulatory approvals, closing, and post-closing integration.
• Advise broker-dealer and marketplace businesses on SEC and FINRA registration, compliance, examinations, and regulatory interactions.
• Partner with senior leadership and cross-functional teams on blockchain-native products, tokenized securities, regulatory developments, and outside counsel management.

Requirements

• 10+ years of experience at a top law firm and/or in-house at a public financial services or fintech company.
• Deep expertise in the Securities Act of 1933 and Securities Exchange Act of 1934, with working knowledge of the Investment Advisers Act and Investment Company Act.
• Hands-on broker-dealer regulatory experience, including SEC and FINRA rules, registration, and compliance.
• Public company governance, periodic reporting, disclosure, substantial M&A, and strategic investment experience.
• J.D. and membership in good standing with at least one state bar.
• Strong drafting, negotiation, communication, judgment, and project-management skills, including the ability to advise senior executives under time pressure.

• Experience at the SEC or FINRA.
• Experience applying securities law frameworks to blockchain, digital asset, and other novel structures.
