Position summary

You run the legal side of Unimatch Lab and its entities in the US, UK, EU and UAE: corporate structure, fundraising, equity, M&A, compliance and IP.

This is a part-time role for an independent senior lawyer working with the founders, finance and operations. You structure entities and deals, negotiate with funds, angels and LPs, and keep cap tables, filings and IP in order. As the portfolio grows, you help decide when to bring legal work in-house and how to set it up.

Key responsibilities

Corporate structuring and governance

• Design and maintain the group structure: Delaware C-Corp, LLC, UK Ltd, UAE entities, SPVs
• Draft and update the Charter, Bylaws, Shareholders Agreement and Stock Purchase Agreements
• Run entity formation, mergers, reorganizations and dissolutions

Investment and deals

• Structure SAFEs, convertible notes, joint ventures and investor agreements
• Set up SPV, LP and GP frameworks for investors and strategic partners
• Keep fundraising compliant with SEC and IRS rules (Reg D, Reg S, Reg CF)
• Negotiate with funds, angels and LPs

Equity and incentives

• Maintain cap tables in Carta, Pulley or Cake
• Build and run ESOPs, option pools, vesting schedules and lock-ups

M&A and due diligence

• Lead legal due diligence on acquisitions and exits
• Prepare and negotiate transaction documents with finance and operations

Compliance and legal operations

• Keep every entity compliant with US and local law
• Write and maintain internal policies: NDA, data protection, IP transfer, security
• Handle filings, reporting and corporate housekeeping

Intellectual property

• Register, transfer and defend IP
• Handle licensing and IP disputes

Required qualifications

• 7+ years in corporate, venture and transactional law, including hands-on work with Delaware entities
• Track record in venture financing, fund structuring and M&A
• Working knowledge of SEC and IRS rules for fundraising, equity and cross-border structures
• Kept cap tables and equity records through several financing rounds
• Law degree (JD, LL.M., LLB or equivalent)
• Practice across US, UK, EU and UAE jurisdictions
• English C1–C2 and Russian

Preferred qualifications

• JD or LL.M. in corporate or business law; US bar admission
• Term sheet drafting and board reporting
• Data privacy, GDPR and AI regulation
• Built an in-house legal function from scratch
