Corporate and Securities Counsel

Location: Hybrid in Boston, MA, US; must work onsite at the Boston headquarters at least three days per week.

Salary: $149,200–$254,000 annual base pay. Additional discretionary annual bonus and potential long-term incentive plan eligibility may apply.

What you will do

• Advise and support the Board of Directors and its standing committees, including preparing meeting materials, minutes, resolutions, and governance documentation.
• Monitor corporate governance and securities regulation developments and advise management and the Board on emerging requirements and trends.
• Lead legal support for SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and related disclosures.
• Advise on securities law compliance, disclosure matters, earnings releases, investor materials, public communications, Section 16 reporting, and insider-trading policies.
• Advise management and business leaders on corporate finance, strategic transactions, executive compensation, corporate responsibility, corporate policies, and corporate records.
• Manage outside counsel and collaborate with a global team of in-house lawyers to deliver efficient, business-oriented legal support.

Requirements

• J.D. from a national law school and admission to at least one United States state Bar; Massachusetts admission is preferred.
• 3–7+ years of relevant experience at a leading law firm and/or in-house legal department, primarily focused on public company reporting and corporate governance.
• Professional presence and ability to interact effectively with senior management and the Board of Directors.
• Ability to quickly build trust and strong working relationships with internal and external stakeholders.
• Exceptional organizational and analytical skills, strong work ethic, and ability to produce high-quality work quickly and efficiently.
• Ability to manage and prioritize multiple projects simultaneously with limited supervision.
• Ability to handle sensitive and confidential information with a high level of discretion.
• Highly effective, business-friendly, and persuasive oral and written communication skills.
• Willingness to master new and unfamiliar areas of practice.
