Counsel-Licensing

Location: Remote within the United States; applicants must be legally authorized to work in the United States without current or future immigration sponsorship. Limited domestic travel of up to 10% is required.

Salary: $131,600–$249,780 annually. Candidates in Alaska, California, Connecticut, Illinois, Maryland, Massachusetts, New Jersey, New York City, Pennsylvania, Virginia, Washington, and the District of Columbia are eligible for $151,340–$249,780; all other locations offer $131,600–$217,200.

What you will do

• Draft, review, redline, negotiate, and advise on NDAs, SOWs, amendments, consulting agreements, business associate agreements, master service agreements, SaaS subscriptions, SLAs, software licenses, and vendor agreements.
• Review RFP requirements, identify problematic terms, and recommend exceptions where appropriate.
• Advise internal clients and business owners on legal issues and contractual matters.
• Interpret legal and risk management policies and recommend mitigation strategies under the guidance of the Associate General Counsel.
• Assist with subpoena responses and support firm, group, and department initiatives.

Requirements

• Juris Doctor or equivalent.
• Licensed attorney in Washington State or another US jurisdiction.
• Four years of in-house or law firm experience, including two years in a professional services firm or software company.
• Experience drafting, reviewing, redlining, and negotiating contractual agreements, especially SaaS subscriptions and software licensing agreements.
• Experience with a contract management system; Agiloft is preferred. Working knowledge of Microsoft Word, Outlook, SharePoint, and OneNote is required.
• Strong legal communication, analytical, project management, collaboration, judgment, confidentiality, and autonomous-working skills.
