Senior Commercial Counsel (AI and Privacy)

Location: On-site in San Francisco, United States; must be located in or willing to relocate to San Francisco.

What you will do

• Own commercial contracting from first draft through signature, including MSAs, order forms, SOWs, DPAs, security addenda, NDAs, and pilot agreements.
• Build contract templates, playbooks, fallback positions, and CLM processes that enable Sales and Growth to close standard deals efficiently.
• Lead privacy and communications-compliance programs covering GDPR, UK GDPR, CCPA/CPRA, PIPEDA, CAN-SPAM, TCPA, CASL, ePrivacy, PECR, telemarketing, call recording, consent, and suppression requirements.
• Own AI governance, including EU AI Act obligations, US state AI laws, NIST AI RMF, automated-communication disclosures, model-provider terms, data retention, training, output ownership, and indemnification.
• Counsel Product and Engineering on data flows, agentic web research, dialer and CRM integrations, call recording, transcription, third-party terms, and customer-hosted deployments before launch.
• Negotiate vendor, partner, reseller, cloud marketplace, and security-related agreements while coordinating outside counsel on corporate, IP, trademark, and open-source matters.

Requirements

• JD and active membership in good standing with at least one US state bar; California is preferred.
• 4–8 years of legal practice, including at least 2 years in-house at a B2B SaaS or enterprise software company or in a technology transactions practice.
• Experience negotiating complex MSAs, DPAs, and security addenda with Fortune 500 or Global 2000 legal and procurement teams.
• Practical knowledge of US, EU, UK, and Canadian privacy and communications-compliance requirements, including cross-border transfers and controller/processor analysis.
• Working knowledge of AI regulation and standards, plus the ability to understand inference, context windows, retrieval, agents, tool use, architecture diagrams, data flows, and APIs.
• Must be located in or willing to relocate to San Francisco.

Nice to have

• Experience with products handling customer data at scale or built on large language models.
• CIPP/E or CIPP/US certification, and familiarity with CASL, PECR, ISO 27001, regulated industries, public-sector work, or customer-hosted deployments.
• Experience as a first or early legal hire and with contract templates, playbooks, or CLM tooling.
