Counsel, Corporate Transactions (Aerospace)

Location: Hybrid role for candidates located near Denver, CO, Long Beach, CA, or Washington, DC. U.S. citizenship, lawful permanent residence, protected-individual status, or eligibility to obtain required ITAR authorizations is required.

Base salary: $140,000–$250,000 per year, plus equity participation.

What you will do

• Lead the legal execution of private equity and debt financings, including priced equity rounds, SAFEs, convertible notes, venture debt, and credit facilities.
• Structure, negotiate, and execute acquisitions, strategic investments, and other corporate transactions from term sheet through closing.
• Manage legal diligence, investor data rooms, cap table and pro forma analysis, and post-closing integration support.
• Support employee liquidity programs, tender offers, secondary transfers, ROFR processes, equity administration, and Rule 701 compliance.
• Prepare Board and committee materials, stockholder consents, and legal guidance for Finance, Real Estate, Supply Chain, and other business teams.
• Draft and negotiate commercial agreements, including NDAs, vendor and supplier agreements, consulting agreements, software and SaaS agreements, leases, and subleases.

Requirements

• Juris Doctor from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 3–8 years of corporate transactional experience, including training at a nationally recognized law firm in M&A, capital markets, emerging companies, or venture capital.
• Experience supporting private financings and M&A transactions from term sheet through closing.
• Working knowledge of private offering exemptions, Rule 701, tender offer rules, Delaware corporate law, equity compensation, and cap table platforms such as Carta.
• Strong drafting, judgment, and communication skills, with the ability to explain transaction risks to executives and Board members.
• Must be located near Denver, Long Beach, or Washington, DC and meet applicable U.S. ITAR authorization requirements.

Nice to have

• Active U.S. security clearance or experience working in a cleared environment.
• Experience with CFIUS filings, FOCI mitigation, national security reviews, aerospace, defense, or national security technology.
• Experience with government contract diligence or novation, tender offers, employee secondary programs, IPO readiness, or commercial real estate transactions.
