TL;DR
Corporate Counsel (Commercial and Intellectual Property) (Aerospace): Managing commercial agreements, intellectual property programs, acquisitions, corporate governance, and government contracting matters for a company developing and manufacturing critical aerospace, defense, and infrastructure components with an accent on IP ownership, trade secrets, licensing, and technical data rights. Focus on negotiating complex contracts, supporting acquisitions, building legal processes from scratch, and advising engineers and executives in an ITAR-regulated environment.

Location: Onsite five days a week in El Segundo, California. Applicants must be U.S. persons under ITAR and authorized to practice in California.

Salary: $180,000–$250,000 USD annually, plus equity.

What you will do

  • Draft, review, and negotiate customer, supplier, nondisclosure, consulting, advisory, and services agreements.
  • Own the intellectual property program, including trade secrets, confidentiality agreements, invention disclosures, trademarks, copyrights, and outside counsel management.
  • Handle IP transactions such as licensing, joint development, collaboration agreements, IP allocation, and intercompany ownership matters.
  • Support acquisitions from diligence through closing and integration, including disclosure schedules and post-closing entity and contract cleanup.
  • Advise on corporate governance, entity management, equity administration, government contracting, technical data, and IP rights.
  • Build the legal department’s contract management system, templates, playbooks, intake processes, and outside counsel management approach.

Requirements

  • JD from an accredited law school.
  • At least 3 years of legal experience at a law firm or in-house.
  • Substantive intellectual property experience, including strong drafting and negotiation skills.
  • Active membership in good standing with the bar of at least one U.S. state, with the ability to become authorized to practice in California.
  • Ability to own matters and make decisions with limited supervision in an ambiguous, developing environment.
  • U.S. person status is required under ITAR, including U.S. citizenship, permanent residence, or protected-person status.

Nice to have

  • Background in aerospace, defense, or hardware manufacturing.
  • Experience building or administering a trade secret protection program.
  • Familiarity with U.S. government technical data and IP rights frameworks.
  • Mergers and acquisitions experience, especially IP diligence.
  • Experience as an early legal hire or a technical background supporting substantive work with engineering teams.
