Counsel, Real Estate Development (AI)

Location: Livingston, New Jersey, United States

Base salary: $157,000–$210,000 per year, plus discretionary bonus, equity awards, and benefits.

What you will do

• Provide legal support across commercial real estate development and infrastructure projects from site acquisition through construction and operational delivery.
• Draft, review, and negotiate purchase and sale agreements, development agreements, site control documents, construction contracts, and professional services agreements.
• Advise on zoning, permitting, land use, utilities, entitlements, and other regulatory matters.
• Lead real estate due diligence, transaction execution, and closing processes.
• Advise on construction risk allocation, delays, claims, indemnities, warranties, and dispute resolution.
• Partner with Development, Construction, Operations, Finance, Tax, Procurement, Power, and external stakeholders while managing outside counsel.

Requirements

• J.D. from an ABA-accredited law school and active admission to practice law in at least one U.S. jurisdiction.
• 7+ years of relevant legal experience in commercial real estate development, construction, and infrastructure transactions.
• Experience negotiating complex commercial real estate and construction-related agreements.
• Experience with title, survey, zoning, land use, permitting, utility, entitlement, due diligence, and transaction closing matters.
• Experience with construction risk allocation, claims management, indemnities, warranties, and dispute resolution.
• Applicants must meet U.S. export-control access requirements, including U.S. person status or eligibility for the required authorization.

Nice to have

• Experience with data center, digital infrastructure, energy, or large-scale industrial development projects.
• Experience with joint ventures, strategic infrastructure transactions, or in-house legal work at a technology or infrastructure company.
• Experience building legal templates, playbooks, and scalable contracting processes.
• Familiarity with utility agreements and power infrastructure matters.
