Paralegal - Structured Transactions

Location: Chicago, Illinois; hybrid in-office/remote schedule with work based in the Chicago office

Salary: $62,000–$99,200 per year

What you will do

• Draft legal agreements, transaction documentation, officer certificates, resolutions, and incumbency certificates.
• Manage deal closings and take responsibility for closing mechanics.
• Prepare and review SEC filings, UCC financing statements and amendments, and specimen securities.
• Coordinate with clients, third parties, and corporate service companies on transaction-related orders.
• Compile and distribute final deal documentation and assemble post-closing sets containing transaction documents and opinions.

Requirements

• Bachelor’s degree from an accredited college or university.
• Proficiency with Microsoft Office, including Outlook, Word, and Excel, and PDF software.
• Excellent oral and written communication skills for professional interaction with clients and vendors.
• Strict attention to detail and the ability to review and prepare documents accurately.
• Ability to manage multiple assignments under time constraints and work flexible overtime.
• Self-directed approach with strong ownership of projects and effective teamwork; occasional travel may be required.
